The number of secretarial appointments is rapidly decreasing as the new legislation takes effect.

This year has seen a massive increase in the number of new companies opting not to make a statutory secretarial appointment.  The requirement to appoint a company secretary was removed under the Companies Act 2006 with effect from 6 April 2008.

Even though there is no longer a legal requirement to appoint, Company directors must appreciate that if they opt not to appoint a company secretary, they are still responsible for the company’s statutory compliance. Often they fail to anticipate the work that this involves and the penalties they can incur if they fail to comply.
